Terms Of Service

Effective Date: 3 September 2025
Entity: TradeSure Analytics Pvt. Ltd. (“TradeSure”, “we”, “us”, “our”)

1) Acceptance

By creating an account, accessing, or using TradeSure’s website, APIs, or reports (the “Services”), you agree to these Terms. If you use the Services on behalf of a business, you represent that you have authority to bind that business and “you” refers to that business.

2) Service scope

  • We provide analytics and signals (“Reports”, including the “TradeSure Score”) to assist B2B trade-credit decisions.

  • We are not a bank, NBFC, or credit bureau, and our score is not a credit bureau score. Reports are decision-support tools, not a guarantee of identity, creditworthiness, or repayment.

  • You remain solely responsible for decisions you make using the Reports.

3) Your obligations (critical)

You shall:
a) Obtain valid, informed, and verifiable consent from each end-customer before submitting their GSTIN, PAN, mobile number, or any personal data to the Services, and maintain consent records.
b) Submit only accurate data you are authorized to share; no scraping or unlawful collection.
c) Use the Services only for legitimate B2B trade-credit decisions pertaining to your customer.
d) Not use Reports for employment, insurance underwriting, tenancy screening, or any purpose prohibited by law or by a data source’s terms.
e) Comply with all applicable laws (including anti-money laundering, KYC, fair-usage of government registries/portals, telecom/compliance rules, consumer protection (if applicable), the Information Technology Act and rules, and the Digital Personal Data Protection Act, 2023 and its rules to the extent in force).
f) Keep your credentials secure; be responsible for activity in your account.
g) Not resell, re-publish, mirror, or provide Reports to any third party except your advisors on a need-to-know basis under confidentiality.
h) Not interfere with, reverse-engineer, or attempt to bypass access limits, rate limits, or security controls.

4) Consent & audit

  • We may require proof of consent and/or authorization.

  • We may suspend or terminate your access if we reasonably suspect lack of consent, misuse, abnormal activity, or violation of these Terms.

5) Plans, fees & taxes

  • Pricing is per lookup, per API bundle, or subscription, as shown at order time.

  • All fees are exclusive of taxes; you are responsible for applicable taxes.

  • Charges are non-refundable once a lookup is initiated or a subscription period begins (see No-Refund Policy below).

6) Availability & changes

  • Services may be unavailable during maintenance, outages of third-party data sources, or events beyond our control.

  • Data sources can change without notice. Output and coverage may vary by identifier, geography, and time.

7) Intellectual property

  • TradeSure owns all IP in the Services, underlying models, schema, and UI.

  • You own your input data and your internal outputs/decisions.

  • We grant you a limited, non-exclusive, non-transferable license to use Reports internally for your legitimate B2B trade-credit decisions.

8) Confidentiality

Each party must protect the other’s confidential information with reasonable care and use it only for the Service relationship. Reports and API schemas are TradeSure confidential information.

9) Data protection

  • We process personal data solely to provide the Services to you, under a processor role.

  • We will implement reasonable technical and organizational measures.

  • You appoint TradeSure to engage sub-processors; we remain responsible for their obligations.

10) Disclaimers

THE SERVICES AND REPORTS ARE PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED (INCLUDING ACCURACY, COMPLETENESS, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT). SCORES AND SIGNALS ARE PROBABILISTIC AND MAY CONTAIN ERRORS.

11) Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, LOST PROFITS/REVENUE/GOODWILL, OR BUSINESS INTERRUPTION.

  • OUR AGGREGATE LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD IS CAPPED AT THE FEES YOU PAID TO TRADESURE FOR THE SERVICES IN THAT PERIOD.

12) Indemnity (very important)

You shall indemnify, defend, and hold harmless TradeSure, its officers, directors, employees, and affiliates from all claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your failure to obtain valid end-customer consent or authorization; (b) your unlawful or unauthorized data submission/use; (c) your violation of law or these Terms; or (d) your decisions or actions based on the Reports.

13) Suspension & termination

  • We may suspend or terminate access for violation, suspected abuse, non-payment, or legal/regulatory risk.

  • Either party may terminate for convenience on 30 days’ notice (for subscriptions), without refund of elapsed periods. Post-termination, you must cease use of Reports and delete non-required copies.

14) Government/regulatory requests

We may cooperate with lawful requests and will, where legally permitted, provide you notice.

15) Compliance audits

Where required by law or contract, we may support reasonable compliance checks limited to confirming proper consent and lawful use.

16) Changes to Terms

We may modify these Terms; continued use after posting signifies acceptance.

17) Governing law & dispute resolution

  • Governing law: Laws of India.

  • Jurisdiction: Courts at Ahmedabad, Gujarat shall have exclusive jurisdiction.

  • Optionally, disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996, with seat at Ahmedabad, conducted in English by a sole arbitrator jointly appointed.
